This website describes services provided by Unit One offices (a limited liability partnership incorporated in the UK) and its direct subsidiaries (together known as ‘Unit One offices UK’). These services consist of providing a website through which Unit One offices publicly displays office or working space for rent (“Space”) from a range of providers of commercial office space (“Office Providers”) to businesses seeking Space (“Clients”). These Clients can then contact Unit One offices through the website or off-line and Unit One offices will provide a brokerage service to the Client, including providing the Client with more information about the Space and/or making arrangements for viewing of the Space. These Terms and Conditions govern the relationship between Unit One offices and the Office Providers and Unit One offices and the Clients only, any relationship between an Office Provider and Client as a result of this website provided by Unit One offices shall be subject to a separate agreement, contract or understanding to be agreed between that Office Provider and Client.

Each entity or practice in the Unit One offices global network is a distinct and separate legal entity. Its ownership and management are distinct from that of any other entity or practice whether operating under the name Unit One offices or otherwise.

No entity or practice operating under the name Unit One offices (including Unit One offices) is liable for the acts or omissions of any other entity or practice. Neither does it act as agent for nor have any authority (whether actual, apparent, implied or otherwise) to represent, bind or obligate in any way any other entity or practice that operates under the name Unit One offices (including Unit One offices).

References to Unit One offices on this website include Unit One offices UK and the Unit One offices global network. Each entity in the Unit One offices global network is responsible locally for the management and ownership of its respective website(s).

Service Suspension and Termination

Unit One offices may suspend or restrict access to some or all parts of this website, and we reserve the right to withdraw or amend the service we provide on our website without notice.  We will not be liable for this website being unavailable at any time or for any period.

We may, with or without prior notice to you, terminate these Terms and Conditions or terminate or suspend your Account in the event that you:

  2. have failed to pay any Commission or other fees due to Unit One offices pursuant to these Terms and Conditions,

or in any other circumstances where we deem it appropriate, at our sole discretion.

Upon termination of these Terms and Conditions for whatever reason (including on deletion of your Account):

  1. all rights granted to you under these Terms and Conditions will cease and you must discontinue your use of this website;
  2. where you are an Office Provider, you must:
  3. immediately pay Unit One offices all outstanding amounts and continue to pay Unit One offices all amounts properly due pursuant to these Terms and Conditions; and
  4. continue to promptly inform Unit One offices of any changes made in respect of any Agreement or of any new Agreements entered into by Clients introduced to you by Unit One offices.

Termination or expiry of this Terms and Conditions shall not affect:

  1. your or Unit One offices’s obligations which survive the termination or expiry; or
  2. any rights which have accrued to you or Unit One offices prior to the termination or expiry.

Important Information relating to Spaces displayed on the website

  1. Particulars: A Space listing is not an offer or contract, nor part of one. You should not rely on statements made in the particulars or by word of mouth or in writing as being factually accurate about the Space, its condition, capacity or its features. You acknowledge that Unit One offices is not itself providing the particulars about any Space, it only lists the particulars supplied to it by Office Providers and Unit One offices has no responsibility for verifying any information or representations made in respect of any Space by the relevant Office Provider. It is the responsibility of Clients to satisfy themselves as to the accuracy of any Space descriptions displayed and the responsibility of the Office Providers to ensure the accuracy and integrity of Space descriptions provided to Unit One offices for listing on the website.
  2. Photos etc: Any photographs of a Space on the website or promoted by us via our social media channels are intended to be indicative only. Photographs may show only certain parts of the Space as they appeared at the time they were taken or show similar properties to the Space listed. Areas, measurements and distances given are approximate only. Any computer generated image gives only an indication as to how the Space may look and this may change at any time.
  3. Regulations etc: Any reference to alterations to, or use of, any part of the Space does not mean that any necessary planning, building regulations or other consent has been obtained. A Client must find out by inspection or in other ways that these matters have been properly dealt with and that all information is correct.
  4. Information on the website about a Space is liable to be changed or removed at any time.
  5. Currency Disclaimer: Any currency conversion shown is for guidance only as the rate of exchange may not be “up to date”.
  6. Map Disclaimer: Any indication on a map does not necessarily show the location of a Space, but only the general vicinity.

Registration

To access certain features of this website, you will need an account. To create an account, you must register with Unit One offices on this website by providing Unit One offices with the requested information (“Account”). By submitting your details to us and so creating an Account, you warrant that:

  1. you are at least 18 years old;
  2. where you are registering an organisation, you are authorised to act on behalf of that organisation in expressing interest in a Space;
  3. the details you provide us are true, accurate, complete and current (and you will maintain these so that they continue to be accurate and current) and you have all requisite permissions and consents necessary to provide such information to Unit One offices; and
  4. you have read and understood, and agreed to be bound by these Terms and Conditions (including our privacy policy which governs how we will process all personal information you provide to Unit One offices).

As part of registering for an Account, you will choose a username and password and you may be asked for or be provided with any other piece of information as part of our security procedures. You must treat such information as confidential, and you must not disclose it to any third party.  We have the right to disable any username or password or other security information at any time if, in our opinion, you have failed to comply with these Terms and Conditions.

Any personal data that you provide via the website, including in creating an Account, or we otherwise collect about you when you use our website, will be governed by our privacy policy (see https://www.knightfrank.com/legals/privacy-statement).   

You may delete your Account at any time by notifying us at fosenquiries@knightfrank.com or  http://www.knightfrank.co.uk/office-space/contact. Please note that it will take approximately 5 business days for us to delete your Account.

Additional Terms and Conditions for Office Providers (This section applies only to Office Providers)

Listing a Space

If you are an Office Provider and would like to list Properties on our website, please contact us at info@unitoneoffices.com You will be asked to provide all relevant details in relation to each Space to us, including photos of the Space (“Content”). You are responsible for the Content provided to us for the purposes of listing your Space on the website or promoting it via our social media channels.

By providing such Content to us and proposing a new listing, you warrant that: (a) you have the authority to: provide the Space and Content for listing on our website and our social media channels; act on behalf of the owner or lessor of the Space in advertising and promoting the Space; and to deal with enquiries from Clients we introduce to you; (b) the Space and the information provided by you in relation to the Space complies with all applicable laws and regulations and the leasing of the Space to any Client would not breach any agreement; (c) all applicable charges and fees which are relevant for the Space shall be disclosed to Unit One offices so that they can be clearly described in the listing; (d) where any of the Content you provide to us contain personal data, you have all the rights and authorisations necessary to provide that Content to us for use in accordance with these Terms and Conditions; and (e) you shall use all reasonable endeavours to promptly respond to any queries Unit One offices raises with you, and you shall treat such queries with such professional care and skill as you would direct enquiries. Office Providers may request that Unit One offices amends or deletes the listing at any time and must promptly provide Unit One offices with any updates or new information about the Space as it becomes known to the Office Provider.

You acknowledge that Unit One offices will review the Content you provide and may amend it, provided that Unit One offices shall not materially change the substance of the Content. Unit One offices reserves the right to reject any proposed listing or Content (in whole or part) if it considers that the Content or listing is objectionable or that the Content or the Office Provider is in breach of applicable law or these Terms and Conditions. Once the Content you provide is uploaded as a listing and is posted to the website, it will be publicly visible on this website and may also be uploaded to, and promoted via, our social media channels. Unit One offices reserves the right to amend, suspend or remove the listing for any Space where Unit One offices, in its sole discretion, considers that the Content or the Office Provider has breached the law or these Terms and Conditions, or where there is any dispute about the Office Provider’s authority to have made the Content or listing available to Unit One offices to upload to the website. 

We will use the contact details you provide to us with the listing Content to contact you or refer Clients to you. Any personal data that you provide to us, or we otherwise collect about you when you use our services or communicate with us, will be governed by our privacy policy (see https://unitoneoffices.com/privacy-policy/).  

Commission

The Office Provider acknowledges that it will pay Unit One offices a commission on every new agreement or contract in respect of any Space (as renewed, extended (including to add a new Space) or amended) entered into by a Client who is referred by Unit One offices to, and accepted by, the Office Provider (“Agreement”). The rates and payment terms for such commission will be agreed between the Office Provider and Unit One offices.

The Service Provider will promptly notify Unit One offices about any changes in respect of any Agreement, and the parties will agree and amend payment of the applicable commission accordingly.

Invoicing and Payment

Unit One offices will invoice the Office Provider for the commission and payment will be due in accordance with Unit One offices’ payment terms. You acknowledge that your liability to pay commission to Unit One offices is independent of your receipt of payment due to you under any Agreement.

This section (along with any section which gives effect to it) will survive termination or expiry of these Terms and Conditions. You acknowledge and agree that deletion of your Spaces from the website and/or termination or expiry of these Terms and Conditions shall not terminate or void any obligation you have to pay a commission (or any other amounts) due in respect of any Agreement that is entered into pursuant to any effective introduction made by Unit One offices (even where the Agreement is signed by a Client after you terminate these Terms and Conditions).

Additional Terms and Conditions for Clients (This section applies only to Clients)

You may use our website to register for an Account, find out more information about us and our services, browse Space listings and contact Unit One offices in respect of listed Spaces. You acknowledge that we may monitor your use of our website for training and business purposes and to ensure compliance with these Terms and Conditions.

You acknowledge that our website may contain links to third party products, services, websites and suppliers. We have no control over these third parties and do not endorse or take responsibility for them or any advertising or data they provide to you.

Where you use the website to contact Unit One offices about a Space, you give us consent to use (and you agree that you have the requisite rights to give such consent) the details you provide in order to contact you to discuss the Space or other potential properties, and share your contact details (including, if applicable, your Account details) and the content of your enquiry or request with the relevant Office Provider(s).

Intellectual Property Rights Notice

This website is owned and controlled by Unit One offices. Unless otherwise noted, we are the owners or licensees of all intellectual property rights in this website (including any databases, proprietary software utilised by us to enable you to use this website and the underlying source code), and all content featured on this website, (whether text or images).   We grant you a revocable, non-exclusive, non-sublicensable, non-transferable licence to use our intellectual property rights in this website and the content on it solely to the extent necessary for you to retrieve and view information in order to find a Space, provided that any printed copies of the website properly and clearly indicate Unit One offices’s copyright and other proprietary notices. You must not use any illustrations, photographs, graphics, videos or audio sequences separately from any accompanying text.

In the event that you are dissatisfied with, or dispute these Terms and Conditions, to the maximum extent permitted by law, your sole right and exclusive remedy is to cancel your Account and to cease to use this website.
